  • ( ) MYOB backs sweeter bid

    AFTER knocking back a $1.90-a-share proposal from private equity in February, the board of accounting software company MYOB has given the thumbs up to a $1.1564-a-share offer that values the company at $450 million.

    Discussions between MYOB and Manhattan Software Bidco, which consists of Archer Capital and HarbourVest Partners, yesterday resulted in an agreement on a bid that was only slightly sweeter than the one Manhattan launched a month ago.

    Under the latest offer, shareholders will get $1.0564 a share if acceptances finish between 50.1 per cent and 90 per cent, and $1.1564 if acceptances clear the 90 per cent compulsory acquisition hurdle.

    But the MYOB board's endorsement only applies to the offer at the higher level. MYOB chairman Simon McKeon yesterday said the board would not help the bid reach the 50.1 per cent threshold needed by next Thursday for the bid to stay alive. More>>
